摘要
證券交易法施行迄今已45年之久，修法17次之多，惟期間仍發生不少弊案，致投資人心血毀於一旦。而投資人為投資決策時，與投資人關係最為密切者乃投資對象的公開資訊。據此，本文乃以證券交易法之公開原則為研究對象，而其中與投資人最為相關者為證券交易法第20條第2項所規定之相關內容，故本文希望藉由文獻分析、我國實務見解及比較法之研究，了解我國證券交易法第20條第2項之缺陷，並找出解決之道，冀將來修法時能夠提供立法者建議，以達到證券交易法第1條所定「發展國民經濟，並保障投資」之目的。
藉由上述研究方法之結果可知，目前我國證券交易法第20條第2項仍存有許多問題，且究竟這些問題能否借鏡外國立法例而加以改善，實有很大的疑問，我國立法體制雖繼受外國法而來，然應我國風俗民情及立法內容仍與外國法有相當差異，因此於繼受外國法時，仍應適時、適地調整，以找出最適合我國之解決之道。

Abstract
The Securities Exchange Act is established for 45 years. There are still lots of problems during this period. Because of these problems, the legislators should find a way to solve it. The purpose of Securities Exchange Act is protect investors and progress economic, but the situation is the act can's achieve the purpose. According to this situation, the thesis want to review Section 2, Article 20 of Securities Exchange Act, the most important rule of investors, try to find out the issues of it via analysis books, periodicals, verdicts of courts and American Laws.
According to the results of forementioned analysis, there are still lots of issues of Section 2, Article 20 of Securities Exchange Act. The legislators should amend the issues in the future for the purpose of the Securities Exchange Act.
